Terms of Service

1. Acceptance of Terms
By accessing or utilizing the financial intelligence dashboards, customized metrics delivery frameworks, scripts, or engineering integration services provided by Soleox LLC (“Soleox”, “we”, “us”, or “our”), you (“Client”, “User”) agree to be bound unconditionally by these Terms of Service. If you are entering into this agreement on behalf of a real estate brokerage or corporate team structure, you represent that you hold the legal authority to bind that entity.
2. Nature of Service & Operational Boundaries
Soleox operates as a customized data layer engineering service. We utilize commercially reasonable efforts to securely sync, format, and visualize the third-party production data metrics you provide through APIs and token entries. Client explicitly acknowledges that Soleox relies entirely on the accuracy and structural updates of Client’s third-party source applications (e.g., CRMs, transaction managers, accounting ledgers). Soleox is not responsible for broken formulas, visual reporting errors, or pipeline delays arising from flawed inputs or corrupted source structures within Client’s target ecosystem.
3. API Connections & Third-Party Platform Interruption
Soleox deploys integrations using read-only API access parameters designed to prevent data alterations within your target platforms. While we employ rigorous engineering checks to maintain pipeline safety, Client understands that third-party integrations carry baseline operational risks. Soleox will not be liable for system instabilities, service dropouts, or platform suspensions implemented by third-party application providers in connection with API token configurations.
Soleox reserves the right to modify, suspend, or deprecate specific dashboard streams or data connection pathways at any time, without liability to the Client, if a third-party platform modifies its API architecture, revokes developer access tokens, or alters its terms of data access.

IN NO EVENT SHALL SOLEOX’S AGGREGATE LIABILITY FOR ALL CLAIMS, DISPUTES, OR BREACHES ARISING UNDER THIS AGREEMENT EXCEED THE TOTAL FEES ACTUALLY PAID BY CLIENT TO SOLEOX LLC DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
6. Dispute Resolution & Class Action Waiver
Any dispute, controversy, or claim arising out of or relating to these Terms of Service or the performance of our data systems shall be settled exclusively through binding, individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
CLASS ACTION WAIVER: CLIENT AND SOLEOX AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
7. Governing Law
These Terms of Service, your use of the Soleox platform, and any dispute arising hereunder shall be governed exclusively by, and construed in accordance with, the laws of the State of Delaware, without regard to its conflict of law principles.
8. Indemnification
Client agrees to defend, indemnify, and hold harmless Soleox LLC and its representatives from and against any third-party claims, damages, financial losses, regulatory actions, liabilities, and expenses (including legal defense fees) resulting from Client’s breach of these Terms, unauthorized exposure of third-party API keys, or violations of privacy rights relating to agent data sets channeled into the Soleox processing layer.
9. Entire Agreement & Severability
These Terms of Service constitute the entire legal agreement between Client and Soleox LLC regarding data metrics pipeline delivery. This agreement supersedes all prior or contemporaneous communications, verbal agreements, marketing materials, or emails. If any provision of these Terms is found to be invalid by an arbitrator or court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
10. Modifications to Terms
Soleox reserves the right to adjust, update, or rewrite components of these Terms of Service at any time to preserve alignment with shifting regulatory frameworks, API data policies, or updated security architectures. Any changes take effect immediately upon being posted on this URL path.
